Alternate Investment Funds (AIF)

Serving sophisticated and high-net-worth individuals (HNIs) and institutions, an Alternative Investment Fund (AIF) in India is a privately managed investment pool that deploys capital into a range of conventional and non-conventional assets, as per the predetermined investment policies and strategies.

AIFs are regulated by the Securities and Exchange Board of India (SEBI) under the SEBI (Alternative Investment Funds) Regulations, 2012. 

It is a more sophisticated investment product primarily targeted at High Net-worth Individuals (HNIs) and institutional investors.

Key Characteristics of AIFs

Investment Universe

A fund that pools money from a select group of investors and invests it in conventional (listed stocks and bonds), non-conventional, often unlisted or illiquid, assets.

Regulation

AIFs are regulated by the Securities and Exchange Board of India (SEBI) under the SEBI (Alternative Investment Funds) Regulations, 2012.

Minimum Investment

The minimum investment required is ₹1 Crore.

Asset Classes

Investments typically include Private Equity, Venture Capital, Real Estate, distressed assets, infrastructure projects, listed stocks, bonds, etc.

Liquidity

IFs generally have lower liquidity and a lock-in period, as the underlying assets are often long-term and difficult to liquidate quickly.

Categories of AIFs

SEBI has classified AIFs into three categories based on their investment strategy and objective:

Category 1

Under Category 1, funds invest in early-stage companies or start-ups that have the potential to grow

  • Venture Capital Fund
  • Angel Funds
  • Infrastructure Funds
  • Social Venture Funds

Category 2

These are funds that primarily invest in equity and debt of private (unlisted) companies and are not Category I or III. They are typically non-leveraged funds.

  • Private Equity Funds (PE)
  • Debt Funds
  • Real Estate Funds

Category 3

The strategy involves complex and varied trading methods, often including the use of derivatives and leverage (borrowed capital), to pursue high-risk, high-return investment outcomes.

  • Hedge Funds
  • Private Investment in Public Equity (PIPE) Funds
